SEO Solutions Terms and Condition

Use of the Service

Customers agree, using are own proprietary knowledge, to optimize the Customer's Website by adding code, structure and information and to maintain the Service Website and generally provide its other services and perform its obligations under the Agreement but it is specifically agreed that optimisation of the Customer's Website in accordance with the terms of the Agreement does not guarantee any particular level of traffic to the Customer's Website throughout the term of the Agreement.

The Customer confirms to SEO Solutions that the Customer has and shall at all times provide SEO Solutions with accurate, complete and non-misleading information regarding the Customer's identity and any other matters relevant to the Agreement.

Customers understand that, except for information, products or services clearly identified as being supplied by SEO Solutions, SEO Solutions does not operate, control or endorse any information, products or services on the Internet in any way. Except for SEO Solutions identified information, products or services, all information, products and services offered through the Site or on the Internet generally are offered by third parties that are not affiliated with SEO Solutions.

In connection with the use of the Site, as customers you agree you will not:

1. Transmit any message, information, data, text, software or images, or other content ("Material") that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, or otherwise objectionable that may invade another's right of privacy or publicity;
2. Impersonate any person or entity, including but not limited to, an SEO Solutions official, forum leader, guide or host or falsely state or otherwise misrepresent your affiliation with a person or entity;
3. Post or transmit any Material that you do not have a right to reproduce, display or transmit under any law or under contractual or fiduciary relationships (such as nondisclosure agreements);
4. Post or transmit any Material that contains a virus or corrupted data;
5. Delete any author attributions, legal notices or proprietary designations or labels that you upload to any communication feature;
6. Use the Site's communication features in a manner that adversely affects the availability of its resources to other users (e.g., excessive shouting, use of all caps, or flooding continuous posting of repetitive text);
7. Post or transmit any unsolicited advertising, promotional materials, "junk mail", "spam," "chain letters," "pyramid schemes" or any other form of solicitation or any non-resume information such as opinions or notices, commercial or otherwise;
8. Violate any applicable local, state, national or international law;
9. Upload or transmit any Material that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party;
10. Delete or revise any Material posted by any other person or entity;
11. Manipulate or otherwise display the Site by using framing or similar navigational technology, or
12. Register, subscribe, attempt to register, attempt to subscribe, unsubscribe, or attempt to unsubscribe, any party for any SEO Solutions product or service if you are not expressly authorized by such party to do so.

You assume total responsibility and risk for your use of the site and the Internet. SEO Solutions provides the site and related information "as is" and does not make any express or implied warranties, representations or endorsements whatsoever (including without limitation warranties of title or non infringement, or the implied warranties of merchantability or fitness for a particular purpose) with regard to the service, any merchandise information or service provided through the service or on the internet generally, and SEO Solutions shall not be liable for any cost or damage arising either directly or indirectly from any such transaction. It is solely your responsibility to evaluate the accuracy, completeness and usefulness of all opinions, advice, services, merchandise and other information provided through the service or on the Internet generally. You understand further that the Internet contains unedited materials some of which are sexually explicit or may be offensive to you. You access such materials at your risk. SEO Solutions has no control over and accepts no responsibility whatsoever for such materials.

Copyright, Licenses and Idea Submissions

Domestic and International copyright and trademark laws protect the entire contents of the Site. The owners of the intellectual property, copyrights and trademarks are SEO Solutions, its affiliates or other third party licensors. YOU MAY NOT MODIFY, COPY, REPRODUCE, REPUBLISH, UPLOAD, POST, TRANSMIT, OR DISTRIBUTE, IN ANY MANNER, THE MATERIAL ON THE SITE, INCLUDING TEXT, GRAPHICS, CODE AND/OR SOFTWARE unless otherwise specified.

You may print and download portions of material from the different areas of the Site solely for your own non-commercial use provided that you agree not to change or delete any copyright or proprietary notices from the materials. You agree to grant to SEO Solutions a non-exclusive, royalty-free, worldwide, sub licensable, perpetual license, with the right to sub-license, to reproduce, distribute, transmit, create derivative works of, publicly display and publicly perform any materials and other information (including, without limitation, ideas contained therein for new or improved products and services) you submit to any public areas of the Site (such as bulletin boards, forums and newsgroups) or by e-mail to SEO Solutions by all means and in any media now known or hereafter developed. You also grant to SEO Solutions the right to use your name in connection with the submitted materials and other information as well as in connection with all advertising, marketing and promotional material related thereto. You agree that you shall have no recourse against SEO Solutions for any alleged or actual infringement or misappropriation of any proprietary right in your communications to SEO Solutions.

Links to third party web sites

This Site may provide links to other third-party World Wide Web sites or resources. SEO Solutions makes no representations whatsoever about any other Web site which you may access through this Site. Because SEO Solutions has no control over such sites and resources, you acknowledge and agree that SEO Solutions is not responsible for the availability of such external sites or resources and is not responsible or liable for any Content, advertising, products, services or other materials on or available from such sites or resources. It is up to you to take precautions to ensure that whatever you select for your use is free of such items as viruses, worms, Trojan horses and other items of a destructive nature. References on this Site to any names, marks, products or services of any third parties or hypertext links to third party sites or information are provided solely as a convenience to you, and do not constitute or imply an endorsement, sponsorship or recommendation of, or affiliation with the third party or its products and services. SEO Solutions makes no representation or warranty as to any third party Content, products or services, and you agree that SEO Solutions shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such third-party Content, products or services available on or through any such site or resource.

LIMITATION OF LIABILITY

In no event will SEO Solutions be liable for (i) any incidental, consequential, or indirect damages (including, but not limited to, damages for loss of profits, business interruption, loss of programs or information, and the like) arising out of the use of or inability to use the service, or any information, or transactions provided on the service, or downloaded from the service, or any delay of such information or service. Even if SEO Solutions or its authorized representatives have been advised of the possibility of such damages, or (ii) any claim attributable to errors, omissions, or other inaccuracies in the service and/or materials or information downloaded through the service. Because some states do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you. In such states, SEO Solutions liability is limited to the greatest extent permitted by law.

Payments

Payments can me made using All Major Credit Cards, Wire/Bank transfer, Paypal or e-Passporte. Contact your Account Representative on the details of the payment methods. Payments must be made promptly as indicated in the Invoice sent and must be in US $ funds. If we do not receive your payment on-time, your account may be terminated. SEO Solutions reserves the right to remove any web design project from viewing on the Internet until final and full payment is made. All projects will be hosted on our development server and we will not upload or send any finished works until full payment is received.

For Dedicated/Fulltime staff service, you agree to remit 100% advance full payment for the month service after the free trial promo.

For Part-time/non-fulltime service, you agree to remit 100% upfront payment for $500.00 and lower projects, while for bigger projects higher than $500.00, we require 50% down payment. We do as much redesigns as customer likes and work until full customer's satisfaction. When the project is 90% complete, the customer agrees to send the rest of the payment (50%). For additional work after the project is complete, we charge a fee according to the staff's daily rate.

Failure to comply with the above payment terms is subject to immediate cancellation of the trial/service.

Dedicated Staffing (Free Trial)

To qualify for the FREE trial for a dedicated employee, you are required to submit your contact and project details for initial review by your Account Representative and SEO Department Head. Free web-based emails such as Hotmail, Yahoo, MSN, Gmail, etc. are not allowed to be used as the recipient's official email address, instead we only accept your own domain registered email address. After careful evaluation and you are found eligible for the promo, SEO Solutions will send you the scheduled deployment date of your dedicated worker. It takes a maximum of 1-2 weeks depending on the availability and complexity of the project. This will give the staff enough time to prepare and study your requirements. Failure to initiate contact on two (2) consecutive days during the allotted promo period will result to immediate cancellation of the trial service.

Project Supervisor

You agree and will only directly communicate with the Project Supervisor (PS) via ICQ, MSN or AIM, thus your are required installing any of the said programs for easy correspondence. No direct staff contact is allowed, instead, the PS who is certified experienced in the same field will be looking after your staff or team all the time and directly inform you with regular progress of the project. The PS is required to be online during the entire working schedule to address your needs. The employee is guaranteed 100% dedicated and does not do other freelancing works. He reports 8 hrs daily, 6 days/week (equivalent to 48hrs total). The staff is required to submit a daily report of his activity directly to his Project Supervisor for performance checking purposes.

Disk Storage

SEO Solutions reserves the right to delete and maintain the limit of storage folder of each staff to approximately 10GB on both workstation and file server. As part of providing you secure maintenance of data, all Project Supervisors are required to perform weekly back-up on your staff's workstation to a file server. In the event of accidental deletions or hardware failure, SEO Solutions will not be held liable in any way. We therefore highly recommend that you provide the Project Supervisor FTP access to your server for regular uploads. If you decide to cancel your account, SEO Solutions reserves the right to delete all files on the local workstation and file server after the last day of service.

Cancellation /Termination of Service

You may cancel your account at any time, with proper notification, preferably a week before the next due date. Proper notification includes direct contact with your Account Representative or the Project Supervisor, written notification, or e-mailed notification addressed to sales@SEOSolutions.com. Failure to pay does not constitute proper notification, and you will be responsible for all fees accrued to your account until proper notification is received. SEO Solutions reserves the right to cancel this service and reimburse you with any unused fees (where appropriate) on a pro-rata basis. If your service is canceled for misuse according to these Terms and Conditions, SEO Solutions reserves the right to apply additional fees and/or administrative costs incurred to your account prior to reimbursement. Please allow 4-6 weeks for reimbursement payment.

Copyright and Trademarks

The client unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to SEO Solutions for inclusion in the optimization project are owned by the client, or that the client has permission from the rightful owner to use each of these elements, and will hold harmless, protect and defend SEO Solutions from any claim or suit arising from the use of such elements furnished by the client.
